These are the Terms and Conditions of Sale of Think Timber Ltd.
These Terms and Conditions apply to all sales of goods by Think Timber Ltd (“we”, “us”, “our”) to business customers (“you”, “your”). They override any other terms you may seek to apply unless agreed in writing. A contract is formed when we confirm your order in writing or dispatch the goods.
The goods supplied will match the description set out in our quotation or agreed specification. Timber is a natural product and, as such, variations in colour, grain, texture and finish are inherent characteristics and not defects. Any samples or images are provided as a guide only.
Unless otherwise agreed in writing, timber is supplied at a moisture level suitable for general transport and storage conditions. We cannot guarantee moisture levels once goods have been delivered. It is your responsibility to ensure timber is correctly acclimatised prior to installation and used in accordance with good industry practice.
Following delivery, you are responsible for storing goods in a suitable environment. This includes keeping products dry, well ventilated, protected from moisture and direct heat, and stored off the ground. We are not responsible for damage, movement, or defects caused by poor storage, handling, or environmental exposure after delivery.
All prices are exclusive of VAT and delivery unless stated otherwise. Payment terms are as agreed at the time of order. If payment is not made on time, we reserve the right to charge interest and suspend further supply until the account is brought up to date.
Delivery dates are estimates, you will receive updates on exact delivery dates. Risk in the goods passes to you upon delivery. If delivery cannot be completed due to circumstances within your control, we may charge for storage and redelivery.
You must inspect goods immediately upon delivery. Any damage, shortages or issues with delivery must be reported to us within 48 hours. Any defects not visible on delivery must be reported within five working days. If you do not notify us within these timeframes, the goods will be deemed accepted.
Returns of non faulty goods are only accepted at our discretion. Goods must be returned within 60 days of invoice, unused, and in a resaleable condition. We reserve the right to refuse returns or apply a restocking charge where appropriate.
If goods are found to be faulty, not as described, or not of satisfactory quality, we will investigate and, where appropriate, offer a repair, replacement, or refund. This is subject to the goods having been used, stored, and handled correctly and in accordance with industry standards.
Ownership of the goods remains with us until payment has been received in full. Until ownership passes, you must store the goods in a way that clearly identifies them as our property.
Nothing in these Terms limits or excludes liability where it would be unlawful to do so. Subject to this, our liability is limited to the value of the goods supplied. We are not responsible for indirect or consequential losses, such as loss of profit or business interruption. We will always aim to resolve issues fairly and commercially.
We are not liable for any delay or failure to perform our obligations due to events outside our reasonable control, including but not limited to supply chain disruption, adverse weather, industrial action, war, armed conflict, terrorism, civil unrest, government action, sanctions, or disruption to international supply chains or transport routes.
These Terms and Conditions and any dispute arising from them shall be governed by the laws of England and Wales. The parties agree that the courts of England and Wales shall have jurisdiction, unless otherwise agreed in writing.
